【兆龍課堂】Eugene律師關(guān)于美國移民局新政策以贈(zèng)予方式證明合法資金來源的總結(jié)

  編者按:美國移民局在今年4月22日的電話會(huì)議上公布了對(duì)以贈(zèng)予方式證明合法資金來源的新政策,較之以往政策有相當(dāng)?shù)氖站o。6月5日的 EB-5改革法案以有針對(duì)性地涉及到了這個(gè)問題。總結(jié)我所近期的案例及通過與合作所的交流,劉宇和貝特曼聯(lián)合律師事務(wù)所的 Eugene 律師對(duì)這個(gè)問題作出如下總結(jié),供業(yè)內(nèi)人士參考。

  Eugene 律師介紹

  Eugene Samokhleb律師為美國EB-5投資移民執(zhí)業(yè)律師,為EB-5投資者在移民過程中提供全程指導(dǎo),并代表投資者與美國移民局、美國國家簽證中心和美國海外領(lǐng)事館處理移民相關(guān)事宜。此外,他還負(fù)責(zé)代表EB-5區(qū)域中心獲取美國移民局的批準(zhǔn),并代表開發(fā)項(xiàng)目尋求外國資本的注入。同時(shí),Samokhleb律師也精通于移民法的其它領(lǐng)域,包括家庭團(tuán)聚簽證、商務(wù)簽證、訴訟和上訴。在擁有法學(xué)院教育背景的同時(shí),Samokhleb律師在不動(dòng)產(chǎn)法領(lǐng)域有過諸多經(jīng)歷。他曾在紐約市民事法庭實(shí)習(xí)工作期間研究房屋租賃法,并協(xié)助法官起草判決書。他還曾在一家私企有過實(shí)習(xí)經(jīng)歷,期間其作為出賣人、買受人和貸款人的代表處理不動(dòng)產(chǎn)交易中的相關(guān)事宜。Samokhleb律師擁有紐約州、新澤西州以及第二巡回上訴法院的執(zhí)業(yè)許可,畢業(yè)于紐約法學(xué)院和紐約城市大學(xué)。

  正文:

  For gifts: From now on, gifts should only be from immediate family members (spouse, parent, child, grandparent, or sibling). We cannot use gifts from friends, other relatives, etc any longer. The new law will impose this restriction on gifts, and it is very possible that the law will apply to cases that are already pending, so we want to avoid problems. (And we cannot circumvent this rule by issuing gift from friend to parent, and then from parent to child. That will not work).

  關(guān)于贈(zèng)予問題:

  從現(xiàn)在起,贈(zèng)予行為僅應(yīng)發(fā)生在直系親屬(即配偶、父母、子女、祖父母或兄弟姊妹)之間。我們不能接受朋友、其他親屬或關(guān)系更遠(yuǎn)的人的贈(zèng)予。這一對(duì)于贈(zèng)予行為的限制將包含在新的法規(guī)中,而新規(guī)很有可能將應(yīng)用于目前正在等候?qū)徖淼陌讣,所以我們希望避免問題發(fā)生。(我們不能為了規(guī)避新規(guī)而把朋友的贈(zèng)予給到父母,再由父母給到孩子,這樣做是行不通的。)

  For loans:

  關(guān)于貸款問題:

  1. PA is sole owner of collateral and sole borrower of loan:

  1.主申請(qǐng)人是抵押物的唯一所有人和貸款的唯一借款人:

  This is the cleanest case.

  這是最無瑕疵的情況。

  2. PA and spouse jointly own collateral and PA is sole borrower:

  2.主申請(qǐng)人和配偶是抵押物的共有人,主申請(qǐng)人是唯一借款人:

  This is also ok.

  這樣也沒問題。

  3. PA and spouse jointly own collateral and spouse is sole borrower:

  3.主申請(qǐng)人和配偶是抵押物的共有人,配偶是唯一借款人:

  In this case, spouse has to gift loan proceeds to PA, but it is best to avoid this situation anyway.

  在這種情況下,配偶必須把貸款贈(zèng)予主申請(qǐng)人,但最好能避免這種情況。

  4. PA and spouse jointly own collateral, and both spouses are co-borrowers:

  4.主申請(qǐng)人和配偶是抵押物的共有人,且同時(shí)還是共同借款人:

  We do not know yet if this is ok or not. If it happens, it's best to also include a gift agreement where the spouse gifts his portion of the loan to the PA. But it's best to avoid this situation.

  目前為止我們還不確定這種情況是否可行。如果發(fā)生了這樣的情況,那么最好附上一份贈(zèng)予協(xié)議,說明配偶將其所占有部分的貸款贈(zèng)予給了主申請(qǐng)人。但最好避免這種情況。

  5. Spouse solely owns the collateral:

  5.配偶是抵押物的唯一所有人:

  This situation can go 2 ways)

  可能會(huì)有兩種情況:

  a) If spouse purchased the property before the marriage, then spouse must be the borrower and must make gift to PA.

  a)如果配偶是在婚前購買房產(chǎn)的,配偶必須作為借款人并將貸款贈(zèng)予主申請(qǐng)人。

  b) If spouse purchased the property after the marriage, then the property is considered community property and should be ok. But gift agreement should may be included, just to be safe.

  b)如果配偶是在婚后購買房產(chǎn)的,房產(chǎn)可以被視為夫妻共有財(cái)產(chǎn)。但為了安全起見還是建議附上贈(zèng)予協(xié)議予以說明。

  But if possible, it's best to avoid this situation.

  但如果可能還是最好避免這種情況。

  6. Collateral is owned by 3rd party (parent, child, sibling, etc).

  6.第三方(父母、子女、兄弟姊妹等)是抵押物的所有人。

  Gift is needed necessary from owner to PA.

  主申請(qǐng)人接受的贈(zèng)予必須是來自于抵押物所有人。

  7. Collateral is jointly owned by PA and 3rd party:

  7.主申請(qǐng)人和第三方是抵押物的共有人:

  a) All parties must be co-borrowers

  a)所有各方都必須是共同借款人。

  b) PA must be listed as the PRIMARY borrower, and co-borrowers must be listed as SECONDARY borrowers. The loan has to somehow show that the PA is has "primary responsibility" for the loan.

  b)主申請(qǐng)人必須是主要借款人,而所有共同借款人必須是從屬借款人。主申請(qǐng)人必須證明其對(duì)于貸款承擔(dān)“主要責(zé)任”。

  c) Gift agreement is ALSO necessary.

  c)必須附上贈(zèng)予協(xié)議。

  It is highly advisable to avoid this situation.

  強(qiáng)烈建議避免這種情況。

  8. Alternatively, in complicated cases they can also transfer the title and deed to the PA, though this is a complicated process. This would be the best way to achieve success in a situation like #7 above.

  8.另外還有更復(fù)雜的情況,就是其他人可以將房產(chǎn)的所有權(quán)和所有權(quán)證書轉(zhuǎn)讓給主申請(qǐng)人,盡管這牽涉到一個(gè)十分復(fù)雜的流程。但是這樣做是在上述第7種情況下取得成功的最好方法。
